The buzz around around Security Tokens has been rising for awhile now, and accelerated post SEC Chairman Clayton’s statement “I believe every ICO I’ve seen is a security”. While some Utility Tokens are now considering filing as securities, this call is going to cover Security Tokens that convey ownership rights, similar to shares in a company. When tokenized, those ownership rights become programmable (via smart contracts), which opens up an infinite number of possibilities of how securities will be able to evolve.
We’re starting to see the necessary infrastructure being built as witnessed by the growing list of exchanges & protocols focused on Security Tokens (e.g. Republic, Open Finance Networks, Polymath, Securitze, Templum, Harbor, StartEngine, and tZero).
But are these new platform ready to scale? What about investors? Is there enough investor demand for the potential tsunami of Security Tokens ready to come to market? Is there enough regulatory clarity for Security Tokens to scale? What’s the quality of the private assets looking to tokenize?
In “The Flippening”, a post I wrote in January, I used the term “Flippening” to refer to the point in time when the value of Security Tokens issued surpasses the value of Utility Tokens issued. I predicted that point would come in 2019. But is that too aggressive?
We’re excited to have three Security Token experts on the call, each looking at Security Tokens from different perspectives. After the panelists formal remarks, we’ll have plenty of time for questions from the audience.

Our three esteemed speakers are:
Emma Channing —General Counsel at Sati Group, the premier ICO advisory firm. Prior to Satis, Emma spent several years in start-ups. This followed over a decade with the law firms of Simpson Thacher, Skadden Arps and Herbert Smith Freehills. Areas of concentration include global capital markets, financial regulatory issues, fund formation, and tech transactions. In addition, Emma has significant experience with novel securitizations, and private placements. Emma is a member of the global ICO think tank RegTech@Wharton, and was named as one of the Top 30 Cryptocurrency Innovators by Crypto Daily. Emma received her LLB and an LLM from Durham Law School (UK), and a second LLM from Stanford Law School in 2010.
Juan Hernandez — CEO at OpenFinance Networks, an end-to-end trading platform for Tokenized Securities. Juan has built multiple startups including PeerRealty, Endurance Commerce, and the Pop Stock Exchange. Previously, Juan designed and developed financial exchange platforms, algorithmic trading systems and healthcare security networks. Juan received his B.A. in Computer Science from Northwestern University and his Master of Business Administration degree from the Kellogg School of Management.
Kendrick Nguyen— CEO at Republic, an investment platform connecting tech startups and blockchain projects with retail investors around the world. Prior to Republic, Kendrick served as General Counsel of AngelList and he was a Fellow of Stanford University’s Center for Corporate Governance. He is a founding adviser to NOW Ventures and CoinList, and has advised a number of high-profile projects on compliant token sale logistics.
